1. Acceptance of Terms

By accessing or using ERP Flow Studios (“the Service”) at erpflowstudios.vercel.app, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including clinic administrators, doctors, and staff members.

2. Description of Service

ERP Flow Studios is a cloud-based clinic management platform that provides tools for patient management, appointment scheduling, prescription writing, purchase order management, billing, and related healthcare administration workflows. The Service is intended for use by registered healthcare clinics and their authorized staff.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• One clinic account may have multiple user roles (admin, doctor, staff, receptionist).

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations.
• Upload false, misleading, or fraudulent patient or medical data.
• Attempt to gain unauthorized access to other clinics' data.
• Reverse-engineer, decompile, or attempt to extract source code from the platform.
• Use the Service in a way that could damage, disable, or impair its functionality.
• Share your account credentials with unauthorized third parties.

5. Data Ownership and Responsibility

You retain full ownership of all patient data and clinic data you enter into the Service. By using the Service, you grant ERP Flow Studios a limited license to store and process this data solely for the purpose of providing the Service to you.

You are solely responsible for ensuring that your use of the Service complies with all applicable healthcare data protection laws (e.g., DPDPA, HIPAA where applicable).

6. Subscription and Payments

• Some features require a paid subscription (Pro plan). Pricing is shown at the time of purchase.
• Payments are processed via Razorpay. By subscribing, you agree to Razorpay's payment terms.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are handled on a case-by-case basis. Contact us within 7 days of billing for disputes.

7. Third-Party Integrations

The Service integrates with third-party providers including Google (Gmail OAuth), Twilio (SMS/WhatsApp), Razorpay (payments), and Cloudinary (media storage). Your use of these integrations is also governed by the respective third party's terms of service.

When you connect a Google account, you authorize ERP Flow Studios to send emails on your behalf using the Gmail Send API. We will not access your inbox or any data beyond what is necessary to send emails you have configured.

8. Intellectual Property

The ERP Flow Studios platform, including its design, code, and content (excluding your clinic data), is owned by ERP Flow Studios and protected by intellectual property laws. You may not copy, reproduce, or distribute any part of the platform without written permission.

9. Disclaimer of Warranties

The Service is provided “as is” without any warranties, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. ERP Flow Studios does not provide medical advice and is not a licensed healthcare provider.

10. Limitation of Liability

To the fullest extent permitted by law, ERP Flow Studios shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data or business interruption, even if we have been advised of such damages.

11. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion. You may delete your clinic account at any time from Clinic Settings. Upon termination, your data will be retained for 30 days then permanently deleted.

12. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We will provide reasonable notice of material changes.

13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India.
